This Software License Agreement ("Agreement") is a legal agreement between the user ("Licensee") and the Licensor, the developer and owner of the Calandex III software ("Software"). By installing, registering, or using the Software, the Licensee agrees to be bound by the terms of this Agreement.

1.1 Grant of License
<br>
The Licensor grants the Licensee a limited, non-exclusive, non-transferable license to install and use Calandex III for lawful personal, organizational, or business purposes in accordance with this Agreement.
<br>
This license does not grant ownership of the Software. All rights not expressly granted remain the property of the Licensor.
<br>

1.2 Ownership and Intellectual Property
<br>
Calandex III, including all source code, design, documentation, and related materials, is the exclusive intellectual property of the Licensor and is protected by copyright and other intellectual property laws.
<br>
The Licensee may not:
<br>
Copy, modify, or distribute the Software except as permitted by this Agreement
<br>
Reverse engineer, decompile, or disassemble the Software
<br>
Remove copyright notices or proprietary markings
<br>

<br>
1.3 Acceptable Use and Community Standards
<br>
(Morals, Ethics, and Values Policy)
<br>
Calandex III is designed as a family-oriented product intended for constructive and lawful use. Licensees agree to use the Software with integrity, dignity, and respect toward others.
<br>
l? Compliance with Law
<br>
The Software must be used in compliance with all applicable laws and regulations.
<br>
1.3.1 Prohibited Uses
<br>
The Software may not be used in connection with:
<br>
Fraud, extortion, or dishonest schemes
<br>
Exploitation or abuse of minors
<br>
Threats or promotion of violence
<br>
Harassment or intimidation of individuals or groups
<br>
Distribution, storage, or reference to pornographic or sexually explicit material within the Software
<br>
Any unlawful activity
<br>
1.3.2  Gambling
<br>
      If the Software is used in connection with gambling-related activities, such use must comply with all applicable laws and regulations in the relevant jurisdiction.  We are not responsible for any gambling activity results.
<br>

<br>
1.4 Registration and License Activation
<br>
Some features of Calandex III may require registration or activation. License keys or activation credentials may not be shared, resold, or distributed without written permission from the Licensor.
<br>
The Software may periodically validate license status.
<br>

<br>
l? .5 Updates and Modifications
<br>
The Licensor may provide updates, patches, or new versions of the Software at its discretion. Updates may modify functionality, improve security, or correct errors.
<br>

<br>
1.6 License Revocation and Termination
<br>
The Licensor reserves the right to suspend or revoke any license if the Software is used in violation of this Agreement.  Upon termination:
<br>
The Licensee must immediately cease using the Software
<br>
Registration keys or activation credentials may be disabled
<br>
Access to updates or services may be terminated
<br>
Termination may occur without prior notice.
<br>

<br>
1.7 Limitation of Liability
<br>
The Software is provided "as is" without warranties of any kind. To the maximum extent permitted by law, the Licensor shall not be liable for:

Data loss
<br>
Business interruption
<br>
Indirect or consequential damages
<br>
Loss of profits or opportunities
<br>

<br>
1.8 Disclaimer of Warranty
<br>
The Licensor makes no guarantees that the Software will be error-free, uninterrupted, or suitable for any particular purpose.
<br>

<br>
1.9 Data Responsibility
<br>
The Licensee is responsible for maintaining backups of any data created or stored using the Software.
<br>
The Licensor is not responsible for data loss resulting from software malfunction, hardware failure, or user actions.
<br>

<br>
1.10 Governing Law
<br>
This Agreement shall be governed by the laws of the jurisdiction in which the Licensor operates, without regard to conflict of law principles.
<br>

<br>
1.11 Entire Agreement
<br>
This Agreement constitutes the entire agreement between the Licensor and Licensee regarding the Software and supersedes any prior agreements or understandings.
<br>

<br>
2.1 Calandex III Privacy and Data Handling
<br>
Because the software includes communications, contacts, and reminders, we add this
<br>
 	Privacy / Data Handling section stating that:
<br>
we do not collect personal data, just an E-Mail Adress for Registration (private server)
<br>
users own their own data
<br>
we do not access private content
<br>
we do not collaborate in the cloud which is slow and has serious privacy implications
<br>
we do not have (sell) advertisements on our Calandex III Product
<br>
we do nor require a credit card for the 60 day free trial – it is free !
<br>

<br>
2.2 Indemnification
<br>
The Licensee agrees to indemnify, defend, and hold harmless the Licensor, its owners, developers, employees, and affiliates from and against any and all claims, damages, liabilities, losses, costs, or expenses, including reasonable attorney fees, arising out of or related to:
<br>
The Licensee’s use or misuse of the Software
<br>
Any violation of this Agreement
<br>
Any violation of applicable laws or regulations
<br>
Any content, data, or communications created, stored, or transmitted using the Software
<br>
This obligation shall survive the termination of this Agreement.
<br>

<br>
2.3 Export Compliance
<br>
The Licensee agrees to comply with all applicable export control laws and regulations, including those of the United States and other applicable jurisdictions.
<br>
The Software may not be exported, re-exported, or transferred:
<br>
To any country subject to applicable trade embargoes or restrictions
<br>
To any person or entity prohibited by applicable export control laws
<br>
For any prohibited end use under applicable regulations
<br>
The Licensee is solely responsible for compliance with all such laws.
<br>

2.4 Force Majeure
<br>
The Licensor shall not be liable for failure or delay in performing any obligations under this Agreement if such failure or delay results from events beyond the Licensor’s reasonable control, including but not limited to:
<br>
Natural disasters
<br>
War or terrorism
<br>
Government actions
<br>
Power outages
<br>
Internet or telecommunications failures
<br>
Cyberattacks or infrastructure failures
<br>
In such cases, performance obligations shall be suspended for the duration of the event.
<br>

<br>
2.5 Additional Protections
<br>
2.5.1 Limitation of Damages
<br>
In no event shall the Licensor’s total liability exceed the amount paid by the Licensee for the Software license.
<br>
2.5.2 High-Risk Use
<br>
The Software is not designed for use in safety-critical systems including medical devices, aircraft systems, life-support systems, or other environments where failure could result in injury or death.
<br>
If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
<br>

3.1 Calandex III Community and Non-Profit Use Addendum
<br>
Calandex III was developed as a family-oriented organizational tool intended to support communities, families, churches, ministries, and nonprofit organizations in coordinating schedules, communications, and collaborative activities done privately at home (not in the cloud)..
<br>
The Licensor encourages the use of the Software in ways that promote cooperation, transparency, and respectful communication among members of organizations and communities.
<br>
3.1.1 Ethical Use
<br>
Organizations using Calandex III agree to operate the Software in a manner consistent with lawful, ethical, and respectful standards of conduct. The Software should not be used to promote harmful, abusive, deceptive, or unlawful activities.
<br>

<br>
Organizations using the Software should respect the dignity, privacy, and rights of all participants, volunteers, members, and staff whose information may be managed within the Software.
<br>
3.1.2 Protection of Minors
<br>
Organizations must comply with all applicable laws and best practices concerning the protection of minors and the handling of personal information related to children.
<br>
The Software must not be used in any manner that could contribute to the exploitation, endangerment, or harm of minors.3.1.2 Protection of Minors

3.1.3 Data Responsibility
<br>
Organizations are responsible for the data they create, store, or distribute using the Software. The Licensor does not monitor private organizational data stored within Calandex III.
<br>
Organizations are encouraged to maintain appropriate data security practices and backups.
<br>
3.1.4 Intended Purpose
<br>
Calandex III is designed to assist organizations in coordinating schedules, communications, and collaborative activities. The Software is not intended to replace professional legal, financial, or counseling services.
<br>

4.1 Additional Privacy Statement
<br>
Calandex III does not collect, transmit, or store personal user data except as necessary for software licensing or updates. All organizational data created within the Software remains under the control and responsibility of the Licensee.  We do not accept any advertisements.  Their purpose is always to direct your consciousness to their products which may not be  for your peace and prosperity.
<br>
This is very important aspect of the Calandex III – critical to our mission !!!

We do not support the use of this software for activities involving exploitation, abuse, violence, fraud, or other harmful conduct. The goal of Calandex III is to provide a safe and practical tool that helps individuals, families, churches, nonprofits, and organizations collaborate in private, positive and productive ways.

Technology should serve people—not harm them. Calandex III is committed to that principle.
